Welcome to the Orblynx Academy website. These Terms of Use govern your access to and use of the Orblynx Academy website, the secure Educator Portal, and the content, resources, features, and services made available through them. By accessing or using the website or Educator Portal, you agree to these Terms of Use. If you do not agree, please do not use the applicable website or service.

1. About Orblynx Academy

Orblynx Academy provides STEM education programs, educational experiences, curriculum, educator resources, professional learning, and related services for students, families, educators, schools, districts, and community and industry partners.

These Terms apply to use of Orblynx Academy's public website and, where applicable, its secure Educator Portal. Separate agreements, registration terms, program policies, school or district contracts, or other written agreements may also apply to particular programs, services, or partnerships. If a separate written agreement directly conflicts with these Terms regarding the same subject matter, the separate written agreement will control to the extent of that conflict.

2. Website Use

You may use the public portions of the Orblynx website for lawful, personal, informational, and noncommercial purposes.

You agree not to use the website or its services in a way that violates applicable law, interferes with website security or operation, attempts to gain unauthorized access to restricted areas, introduces malicious code, impersonates another person or organization, or infringes the rights of Orblynx Academy or others.

Orblynx may modify, suspend, restrict, or discontinue any part of the website or its functionality when reasonably necessary.

3. Program Information and Registration

Orblynx makes reasonable efforts to provide accurate information about its programs, including program descriptions, eligibility, dates, schedules, locations, tuition, and availability. Program details may change when necessary because of enrollment, staffing, facilities, weather, safety considerations, or other circumstances.

Registration for a minor student must be completed by the student's parent or legal guardian. By submitting a registration, the parent or guardian represents that the information provided is accurate and that they are authorized to register the student.

Program participation may also be subject to the Orblynx Academy Program Participation and Parent/Guardian Agreement, Cancellation and Refund Policy, safety requirements, student expectations, and other program-specific terms presented during registration.

4. Payments

Program payments are processed through Square. Payment transactions may be subject to Square's applicable terms, privacy practices, and payment-processing requirements.

Tuition, fees, discounts, and other charges will be displayed or communicated as part of the applicable registration process. Orblynx's Cancellation and Refund Policy applies to program cancellations and withdrawals.

5. Intellectual Property

Unless otherwise stated, the Orblynx Academy website and the materials made available through it or the Educator Portal are owned by, licensed to, or used with permission by Orblynx Academy and are protected by applicable copyright, trademark, and other intellectual property laws.

Orblynx Academy materials may include, without limitation, curriculum, lesson plans, instructional frameworks, project designs, activity guides, educator resources, training materials, worksheets, graphics, photographs, videos, text, research materials, program names, logos, branding, website content, and other educational or creative materials.

Access to Orblynx content does not transfer ownership of that content or grant any rights beyond those expressly provided by Orblynx or by a separate written agreement.

6. Permitted and Prohibited Use of Orblynx Academy Materials

Public website content may be viewed for personal and informational purposes. Except where Orblynx expressly provides otherwise in writing, you may not copy, reproduce, republish, distribute, sell, license, sublicense, modify, adapt, create derivative works from, publicly display, commercially exploit, or otherwise use Orblynx proprietary materials without prior written permission.

You may not remove or alter copyright, trademark, attribution, confidentiality, or proprietary notices from Orblynx materials.

Nothing in these Terms grants permission to use the Orblynx Academy name, logos, trademarks, program names, or other brand elements in a manner that suggests sponsorship, endorsement, affiliation, or authorization without prior written permission.

7. Educator Portal and Authorized Curriculum Access

The Orblynx Academy Educator Portal is a secure resource for educators authorized by Orblynx Academy through participating schools, districts, or other approved educational partnerships. It is not available for general public access.

Educator accounts are individual accounts. Authorized users are responsible for maintaining the confidentiality of their login credentials and may not share usernames, passwords, access links, or accounts with another person.

Access to curriculum, courses, and resources within the Educator Portal is limited to the materials assigned or authorized for the educator, school, district, program, or partnership. Access does not grant ownership of Orblynx curriculum or materials.

Unless a separate written agreement expressly provides otherwise, authorized educators may use assigned Orblynx materials only for the educational purposes and students covered by their school's or district's active Orblynx partnership. Educators may not distribute portal materials outside the authorized program, post protected materials publicly, upload them to public websites or shared repositories, sell or sublicense them, provide them to unauthorized schools or organizations, or use them to develop or operate a competing commercial curriculum or program.

Orblynx may suspend or terminate portal access when an educator is no longer authorized, when the applicable partnership ends, when access has been compromised, or when these Terms or an applicable agreement have been violated.

8. Educator Portal Activity

To administer, secure, support, and improve the Educator Portal, Orblynx may maintain information associated with authorized educator accounts and portal use, as described in the Orblynx Privacy Policy.

Educators are responsible for providing accurate account information and promptly notifying Orblynx if they believe their account or credentials have been compromised.

9. Student Work, Projects, Photographs, and Media

Students retain any rights they may have in original work they create, subject to any rights associated with third-party materials, collaborative projects, program requirements, competition rules, research arrangements, or separate agreements.

Orblynx may display, publish, photograph, record, or otherwise use student images, recordings, project work, or program participation for educational, informational, or promotional purposes only when the applicable permission or authorization has been obtained.

Media permission is handled separately from general acceptance of these Terms. Declining media permission does not prevent a student from participating in an Orblynx program.

10. User Submissions and Communications

If you voluntarily submit an inquiry, suggestion, comment, testimonial, or other communication to Orblynx Academy, you represent that you have the right to provide that material and that doing so does not violate the rights of another person.

Nothing in this section gives Orblynx Academy ownership of a student's original project or research merely because information about the work is submitted to Orblynx. Any broader use of student work will be governed by applicable permissions, program terms, competition or research requirements, or separate agreements.

11. Third-Party Websites and Services

The Orblynx Academy website may contain links to or integrations with third-party websites and services, including payment, video, social media, or other technology providers. These services are operated independently from Orblynx and may have their own terms and privacy policies.

Orblynx Academy is not responsible for the content, availability, security, or privacy practices of third-party websites or services that it does not control. A link to a third-party service does not necessarily constitute an endorsement of that service.

12. Privacy

Use of the Orblynx website and Educator Portal is also subject to the Orblynx Academy Privacy Policy, which explains how personal information is collected, used, shared, and protected.

The Privacy Policy is incorporated into these Terms by reference. Where appropriate, additional privacy terms may apply through a school, district, service provider, or separate written agreement.

13. Website Content and Educational Information

Orblynx Academy makes reasonable efforts to keep website information accurate and current. However, website content is provided for general informational and educational purposes and may be updated, corrected, or changed.

Website content is not a substitute for the specific terms, requirements, schedules, safety instructions, or other information provided for an individual Orblynx program. Families and educators should rely on the most current program-specific communications and applicable written agreements when there is a difference.

14. Availability and Disclaimer

Orblynx Academy works to maintain reliable access to its website and Educator Portal but does not guarantee that either will always be uninterrupted, error-free, or available.

To the extent permitted by applicable law, the website, portal, and their content are provided on an "as available" basis. Orblynx Academy does not make guarantees regarding uninterrupted access, compatibility with every device or browser, or the availability of third-party services.

Nothing in these Terms limits rights or remedies that cannot lawfully be limited or waived.

15. Limitation of Liability

To the extent permitted by applicable law, Orblynx Academy will not be responsible for indirect, incidental, special, consequential, or similar damages arising solely from use of, or inability to access, the public website or Educator Portal.

This section does not alter any obligations or liability addressed in a separate program participation agreement, school or district contract, or other written agreement, and does not limit liability where such a limitation is prohibited by law.

16. Suspension or Termination of Access

Orblynx Academy may restrict, suspend, or terminate access to the website or Educator Portal when reasonably necessary to protect security, enforce these Terms, comply with law, address unauthorized use, or protect Orblynx's intellectual property, users, students, partners, or systems.

Termination of portal access does not eliminate obligations concerning confidentiality, intellectual property, authorized use, or other provisions that by their nature should continue after access ends.

17. Changes to These Terms

Orblynx Academy may update these Terms periodically to reflect changes in its website, services, programs, technology, or legal requirements. The Last Updated date at the top of this page will indicate when the Terms were most recently revised.

Continued use of the website after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law. For material changes affecting authorized Educator Portal users, Orblynx may provide additional notice where appropriate.

18. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, except where applicable law requires otherwise.
